Administrators’ compensation is determined in accordance with the provisions of the Executive Board Compensation Policy, market practices, and our corporate governance and management system. It is evaluated on a regular basis, with the support of specialized consultants, taking into account factors such as inflation, pay increments, and industry trends. The Board of Directors receives only a fixed compensation, which is the same for all members, with the exception of the Chairperson, whose compensation is differentiated due to the greater demand of time and responsibility. Members of the Fiscal Council receive a fixed compensation equivalent to at least 10% of the compensation given to a Board member, considering, for the calculation, the average monthly compensation of Board members. The Executive Board, the Non-Statutory Board and executive managers, in turn, receive a fixed compensation, in addition to direct and indirect benefits, such as health insurance, dental insurance and life insurance, as well as variable compensation linked to short-, medium- and long-term goals of financial, operational and strategic nature, including sustainability goals, and can receive share-based compensation. The bonuses and the share plan aim to encourage leadership to align with the Company’s main objectives.
